Welcome to Patisco (the "Platform"), developed and operated by Xinosys Co., Ltd. (the "Company"). Before using the services provided by this Platform (the "Services"), please read this disclaimer carefully. By using the Services, you are deemed to have read and agreed to all contents of this statement.

1. Nature of the Services

Patisco is a digital collaboration and trust-network infrastructure designed for B2B trade. The Platform provides tools for information display, trade document collaboration (including PI, PO, CI, PL, etc.), and communication management. The Company does not participate as a transaction party, agent, guarantor, broker, or intermediary in any transaction. Rights and obligations arising from transactions completed through this Platform exist solely between the two parties (users and their counterparties).

2. Information Accuracy and User Responsibility

User Content: All product information, pricing, specifications, labels, and trading terms on the Platform are uploaded, maintained, and published by users. The Company performs no substantive review of such information and makes no warranties regarding its authenticity, accuracy, legality, or completeness.

Document Effect: System-generated trade documents are produced based on user-entered data. Users must review document content before executing "Submit" or "Sign" actions. Once a document is submitted, it constitutes the user's formal trading position. The Company bears no liability for commercial losses caused by user input errors.

3. System Permissions and Account Management

Role Authorization: The Platform employs role-based access control (Admin, Sales, Assistant, etc.). Administrator accounts bear full legal responsibility for all actions performed by sub-accounts, including quote modifications and PI submissions.

Account Safekeeping: Users must protect their account credentials. Any actions performed after valid login are deemed to be the user's own actions.

4. Technical Risks and Service Interruptions

System Availability: The Company will make reasonable efforts to maintain stable platform operation but disclaims liability for service interruptions, delays, or data loss caused by telecommunications failures, maintenance, hacking, force majeure, or other factors beyond its control.

Data Security: Despite SSL encryption, users acknowledge that the internet environment is not absolutely secure and should independently back up important transaction information.

5. Third-Party Services and API Integrations

The Platform may include third-party services (such as PayPal, PayUni payment processing, or user-connected ERP/CRM API integrations).

Third-party service use is governed by that provider's terms. The Company assumes no responsibility for third-party system performance, stability, or data accuracy. Users should contact the relevant provider regarding synchronization errors caused by third-party API failures.

6. Trust History and Evidentiary Value

The Platform's Activity Logs and Version Comparison features aim to faithfully record the collaboration process between parties. The Company retains original platform operation records but does not intervene in disputes between users. Whether such records have evidentiary value in court depends on the determination of courts or arbitral tribunals in each jurisdiction.

7. Limitation of Liability

To the maximum extent permitted by law, the Company disclaims liability for indirect, incidental, special, consequential, or punitive damages (including profit loss, reputational damage, or lost business opportunities) arising from use of the Platform. The Company's aggregate liability to a User shall not exceed the total service fees paid during the twelve months preceding the incident.

8. Governing Law and Jurisdiction

This disclaimer is governed by the laws of the Republic of China (Taiwan). Disputes arising from use of the Platform are subject to the Taipei District Court in Taiwan as the court of first instance, unless otherwise required by law.
