Service Subscription Agreement

This agreement is between Xinosys Co., Ltd. (the "Company") and users who register for or use Patisco Services (the "User"). By clicking "I Agree" or using Patisco Services, you accept and agree to be bound by this Agreement.
Article 1: Service Definition and Scope
1.1 Patisco Services "Patisco Services" refers to the cloud-based collaboration platform provided by the Company, including product management, a multi-level quotation system, trade document auto-generation modules (PI/PO/CI/PL), trust-network tools, and API services.
1.2 Subscription License The Company grants users a non-exclusive, non-transferable, worldwide right to use the Services for internal business operations subject to selected subscription plans and agreement terms.
Article 2: Special Terms for Trial Accounts
2.1 Trial Purpose Trial accounts allow users to experience and evaluate system functionality.
2.2 Effect of Documents Trial-generated trade documents receive watermarks and possess no formal legal effect. Users cannot use trial accounts to generate documents as evidence for actual transactions.
2.3 Disclaimer The Company provides trial services without any warranties regarding data security or service continuity and reserves termination rights.
Article 3: User Accounts and Permission Management
3.1 Role-Based Access Control (RBAC) Patisco implements a strict role-based access control mechanism. Administrators configure permissions for sub-accounts (Sales, Assistant, Accountant roles).
3.2 Agency Effect Any "Submit" or "Sign" action performed through an account authorized by you shall be deemed your formal act through an authorized agent. Users bear full responsibility for sub-account activities and cannot claim operational error or unauthorized actions as defenses.
3.3 Security Obligations Users must safeguard account credentials and immediately notify the Company of unauthorized access.
Article 4: Integrity and Evidentiary Effect of Trade Documents
4.1 Non-Repudiation Patisco automatically records all document activity logs and version history. Version comparison records serve as confirmation of collaborative consensus.
4.2 Evidence Preservation The Company uses reasonable technical measures to protect data from tampering but bears no responsibility for verifying authenticity of uploaded information.
Article 5: API Terms
5.1 API-First Architecture Users integrating APIs with internal ERP/CRM systems must comply with the technical specifications and usage limits (including rate limits) provided.
5.2 Data Consistency Users acknowledge that data synchronized via the API may differ due to network latency or incompatible formats. The Company is not liable for losses from improper user-side integration.
Article 6: Data Ownership and Privacy Protection
6.1 User Data Users retain ownership of all original data you upload to the Platform.
6.2 Rights to Anonymized Analysis Users authorize the Company to use aggregated data for market trend analysis and service optimization on an anonymized basis.
6.3 Privacy Policy Data processing follows the Company's Privacy Policy.
Article 7: Fees and Payment
7.1 Subscription Fees Users pay subscription fees per their selected plan and billing cycle. Fees paid are non-refundable except as otherwise stated.
7.2 Suspension for Non-Payment Non-payment allows the Company to suspend services after notice until amounts are paid.
Article 8: Prohibited Conduct
8.1 Competitive Use Prohibited Users cannot access services for the purpose of developing a competing product or for monitoring service availability or performance evaluation.
8.2 System Interference Prohibited Users cannot bypass limitations, interfere with operations, or reverse engineer the Services.
Article 9: Limitation of Liability and Termination
9.1 Liability Cap The Company's total liability to you shall be limited to the total subscription fees actually paid by you in the twelve (12) months preceding the event.
9.2 Post-Termination Handling Users may request data export within thirty days after termination. The Company may delete data afterward per applicable laws.
Article 10: Governing Law and Jurisdiction
10.1 Governing Law The agreement follows the laws of the Republic of China (Taiwan).
10.2 Jurisdiction Disputes fall under the jurisdiction of the Taipei District Court in Taiwan as the court of first instance.
